This Acceptable Use Policy ("AUP") sets out the rules governing how subscribers may use the service provided by Justin James Sutcliffe trading as Sharply (ABN 67 456 073 358). This AUP forms part of our Terms & Conditions.
Sharply delivers sales intelligence to help business professionals build meaningful, respectful commercial relationships. We take the ethical use of data seriously and expect our subscribers to do the same.
You may use the Service and Dossier content for legitimate business-to-business sales and business development activities, including:
(a) identifying and researching prospective business contacts;
(b) preparing for sales meetings, calls, and outreach;
(c) informing your internal sales strategy and pipeline management;
(d) training and coaching your sales team using anonymised or aggregated insights.
You must not use the Service, or any information obtained through it, in any way that:
3.1 Harms or harasses individuals
(a) stalks, harasses, intimidates, threatens, or causes harm to any individual identified in a Dossier or otherwise;
(b) contacts any individual for purposes unrelated to legitimate business activity;
(c) discriminates against any individual on the basis of race, gender, age, religion, disability, sexual orientation, or any other protected characteristic;
(d) sends excessive, unwanted, or deceptive communications to any individual (spam).
3.2 Violates laws or regulations
(a) breaches the Australian Privacy Act 1988, the Spam Act 2003, the Do Not Call Register Act 2006, or any other applicable law or regulation;
(b) violates anti-spam or electronic communications laws in any jurisdiction in which you operate;
(c) facilitates fraud, deception, or any illegal activity;
(d) violates the terms of service of any third-party platform (including LinkedIn, email providers, or CRM systems) in connection with data obtained from Sharply.
3.3 Misuses Sharply's intellectual property
(a) redistributes, resells, sublicenses, or publishes Dossier content to any third party;
(b) uses Dossier content to build or enhance a competing product or service;
(c) scrapes, reverse-engineers, or attempts to extract Sharply's proprietary methods, algorithms, or data pipelines;
(d) removes or alters any proprietary notices, watermarks, or branding from Dossier content;
(e) shares account credentials or allows any unauthorised person to access your Sharply subscription.
3.4 Undermines service integrity
(a) introduces malicious software, scripts, or code into any Sharply system;
(b) attempts to gain unauthorised access to Sharply's systems, infrastructure, or other subscriber accounts;
(c) uses automated tools or bots to interact with the Service in an unauthorised manner;
(d) deliberately provides false information during the Assessment or at any other time to manipulate the Service.
Important: Sharply monitors for patterns of misuse. Violation of this AUP may result in immediate suspension or termination of your subscription without refund, and we reserve the right to report illegal activity to the relevant authorities.
While not mandatory, we strongly encourage subscribers to follow these principles when using Dossier content for outreach:
(a) Be relevant. Use the intelligence to be genuinely helpful, not to cold-blast generic pitches. The whole point of a Dossier is to enable a relevant, timely conversation.
(b) Be respectful. If a prospect asks not to be contacted, honour that request immediately.
(c) Be transparent. Don't misrepresent how you obtained information. Saying "I noticed your company recently..." is fine. Pretending you have an existing relationship when you don't is not.
(d) Comply with local laws. If you are contacting prospects in jurisdictions outside Australia, ensure your outreach complies with their local regulations (such as GDPR in the EU or CAN-SPAM in the United States).
If you become aware of any violation of this AUP — by another subscriber or by anyone using Sharply data — please report it to hello@sharply.au. We take all reports seriously and will investigate promptly.
If you are a third party whose information has been misused by a Sharply subscriber, we encourage you to contact us and we will take appropriate action.
Sharply may, at its sole discretion, take any of the following actions in response to a violation of this AUP:
(a) issue a written warning requiring you to cease the prohibited conduct immediately;
(b) suspend your access to the Service pending investigation;
(c) terminate your subscription without refund;
(d) report the conduct to law enforcement or regulatory authorities where appropriate;
(e) pursue legal remedies for any loss or damage caused by the violation.
The severity of the response will depend on the nature, frequency, and intent of the violation.
We may update this AUP from time to time. Material changes will be communicated via email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised AUP.
