These Terms and Conditions ("Terms") govern your access to and use of the services provided by Justin James Sutcliffe trading as Sharply (ABN 67 456 073 358) ("Sharply", "we", "us", "our"). By subscribing to or using any Sharply service, you agree to be bound by these Terms. If you do not agree, you must not use the service.
We may update these Terms from time to time. Material changes will be communicated via the email address associated with your account at least 14 days before they take effect. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
"Service" means the Sharply sales intelligence subscription, including daily intelligence dossiers, deal coaching insights, and any related tools, dashboards, or communications delivered to you.
"Subscriber" or "you" means the individual or business entity that registers for and pays for access to the Service.
"Dossier" means the sales intelligence briefing prepared and delivered to you as part of your subscription, containing prospect research, trigger event analysis, and recommended engagement strategies.
"Assessment" means the onboarding evaluation process Sharply uses to determine suitability for the Service and to calibrate delivery to your industry, offering, and ideal customer profile.
Sharply provides a subscription-based B2B sales intelligence service. Subject to your active subscription and successful completion of the Assessment, we will deliver Dossiers to you on each business day (Monday to Friday, excluding Australian public holidays) via email to the address you provide during onboarding.
The number of Dossiers delivered per day, the depth of research, and the specific features included depend on your subscription tier. Details of your tier are confirmed during the Assessment process.
Sharply reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable. We will endeavour to provide at least 14 days' notice of material changes to the Service.
Before your subscription begins, you must complete our Assessment process. The Assessment allows us to understand your business, target market, and sales approach so we can deliver relevant, high-quality intelligence.
Sharply reserves the right to decline any prospective subscriber following the Assessment if we determine, in our sole discretion, that we cannot deliver meaningful value for your specific use case. In such cases, no charges will be applied.
You agree to provide accurate, current, and complete information during the Assessment and throughout your subscription. Inaccurate information may result in reduced dossier quality or service suspension.
Sharply offers a 7-day trial for AUD $0.50. After the trial period, your subscription automatically converts to a recurring weekly charge of AUD $34 per week (inclusive of GST where applicable), billed via Stripe. There is no lock-in contract — you may cancel at any time.
Your trial begins on the date your first payment of $0.50 is processed. At the end of the 7-day trial period, you will be automatically charged $34 for your first full week, and the same amount each week thereafter on the same day. You authorise us to charge your nominated payment method on each renewal date.
Sharply reserves the right to change pricing with at least 30 days' written notice. Price changes will not take effect until the start of a new billing cycle following the notice period.
All fees are in Australian dollars (AUD). You are responsible for any bank fees, currency conversion charges, or taxes that may apply in your jurisdiction beyond what is stated on your invoice.
If a payment fails, we will attempt to process it again within 3 business days and notify you by email. If payment remains unsuccessful after 7 days, your access to the Service may be suspended until the outstanding amount is resolved.
You may cancel your subscription at any time by emailing hello@sharply.au. There is no lock-in period. Cancellation takes effect at the end of your current billing week — you will continue to receive Dossiers until that date.
No pro-rata refunds are provided for partial weeks. If you cancel mid-cycle, you retain access for the remainder of the week you have already paid for.
Sharply offers a 30-day refund guarantee, subject to the following conditions: within 30 days of your trial start date, you may request a full refund of all subscription fees paid, provided that you have (a) updated all assigned tasks in your Sharply portal before their respective due dates, (b) completed all dossier-related tasks assigned to you, and (c) logged all outcomes for every dossier delivered to you. If these conditions are not met, no refund will be issued. Please refer to our separate Refund Policy for full details.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
You agree to use the Service only for lawful business purposes and in accordance with these Terms and the Acceptable Use Policy. Specifically, you must not:
(a) redistribute, resell, sublicense, or make Dossiers available to any third party without our prior written consent;
(b) use Dossier content to harass, stalk, intimidate, or otherwise engage in conduct that would be unlawful or unethical towards any individual named in a Dossier;
(c) misrepresent information provided by Sharply, or present AI-generated insights as your own proprietary research in a misleading way;
(d) attempt to reverse-engineer, scrape, or extract Sharply's proprietary processes, scoring methodology, or data pipelines;
(e) share your account credentials with any other person or entity.
All intellectual property in the Service, including but not limited to Sharply's scoring methodology, dossier templates, software, branding, and written content, remains the property of Sharply.
Upon delivery, you are granted a limited, non-exclusive, non-transferable licence to use Dossier content internally for your own legitimate sales and business development activities. This licence does not extend to reproduction, distribution, or public display of Dossier content.
You retain ownership of any information, data, or materials you provide to us during the Assessment or in connection with your subscription.
We collect, use, and disclose personal information in accordance with our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the collection and handling of your information as described in that policy.
Dossiers may contain publicly available information about third-party individuals and businesses sourced from public databases, company websites, news sources, and professional networks. Sharply does not guarantee the accuracy, completeness, or currency of third-party data included in Dossiers.
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Sharply disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Dossiers are intended as sales intelligence aids only. They do not constitute legal, financial, tax, or professional advice. You are solely responsible for how you use the information provided and for verifying any facts before relying on them in business dealings.
To the maximum extent permitted by law, Sharply's total aggregate liability arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), or otherwise, is limited to the total fees paid by you in the 3-month period immediately preceding the event giving rise to the claim.
Sharply is not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, loss of profit, loss of business, loss of data, or loss of opportunity, even if advised of the possibility of such damages.
Sharply may suspend or terminate your access to the Service immediately if you breach these Terms, the Acceptable Use Policy, or any applicable law. We may also suspend the Service for maintenance, security, or operational reasons with reasonable notice where practicable.
Upon termination, your licence to use Dossier content survives only in respect of Dossiers already delivered to you prior to termination.
Sharply is not liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or infrastructure outages, or failures of third-party service providers.
These Terms are governed by the laws of the State of Victoria, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Victoria and any courts entitled to hear appeals from those courts.
Before commencing any formal legal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct negotiation for a minimum period of 14 days.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
These Terms, together with the Privacy Policy, Refund Policy, and Acceptable Use Policy, constitute the entire agreement between you and Sharply regarding the Service and supersede all prior agreements and understandings.
